Environment
The effects of climate change are becoming more devastating every year. Similarly, the loss of thousands of native trees in Puerto Rico after the Hurricane Maria, as well as the problems of garbage in bodies of water and landfills, are affecting natural ecosystems. The environmental sustainability goal within our project is: to participate in coastal cleanup activities, plant trees, reduce waste, and incorporate recycling strategies.- A). Recycling: The company acquired machinery to compact all the cardboard and plastic used in order to be recycled. In addition, and being aware that in Puerto Rico we have one of the highest rates of garbage generated per capita in the world and that our landfills are about to run out of space, we are recycling food waste through the fermentation process.
- B). Reforestation: With the non-profit organization Para La Naturaleza, it carries out an activity of planting native trees on the Island. In addition, it collaborates financially with said organization so that they continue with their research and care for the trees that were planted.
- C). Cleaning Coasts: Living on an island we have a wide expanse of beaches and bodies of water. Garbage collection on our coasts is another initiative that forms part of this Sustainability project.
Social
Ultimate Solutions Corp is committed to its employees, suppliers, customers, communities, and society in general. The goal is to strengthen the cohesion and stability of groups inside and outside the company.- A). Empowerment of Women: Promote gender equality. The company proposes that at least 60% of management positions can be held by women.
- B). Ultimate Academy: Seek the development and professional growth of our resources. We have an Academy that encourages resources and clients to increase their knowledge, thus offering opportunities for innovation and new job options.
- C). Wellness Program: Physical health is vital for everyone. Therefore, we have developed a physical activity program to combat obesity and associated conditions. It consists of monthly group training to participate in walks or runs during the year.
- D). Emotional Health: After facing a pandemic and so many stressors worldwide, promoting emotional health is very important to avoid abuse, depression, and suicide. To do this, we integrate monthly emotional health content for our resources and family. In addition, virtual interactions, if required, with psychologists and specialists.
- E). Animal organization volunteerAnimals are part of our environment, which is why it is vital for us to also protect them. We have identified an organization to help them economically with the necessary equipment for the care of dogs and cats; and encourage adoption.
Governance
Our company, founded in 2005, has always been transparent and with high standards of quality and processes. Our values describe it: Integrity, Sustainable, Facilitator, Innovation, Respect, Service and Teamwork. We have implemented processes and systems that continue to help us be clear and efficient with both customers and our employees.- A). ISO Certification: Currently our company is going through the process of establishing the necessary quality policies with the goal of being ISO 9001-2015 certified by 2023. This will allow us to comply with the established standards for the creation of our products and services that are safe, efficient, and reliable.
- B). Machine Vision and Traceability Solutions: Ultimate Solutions will integrate AI and NLP technologies to our vision systems combined with traceability technologies and supply chain digitalization improving safe movement of products, from factory to home.

“Service(s)” means the services and products provided by Ultimate Solutions through its website www.uscglobal.com or any other Website operated by us and including, without limitation, videos, graphics, recordings, documentation, linked pages, features, data, text, blog posts, images, photographs, music, sounds, messages, tags, content, programming, software and application services.

During the Term, and subject to the terms and conditions of this Agreement, the Company will use commercially reasonable efforts to provide Customer with access to the Services. Customer will cooperate with the Company, as requested, to facilitate the initiation of Customer’s access and use of the Services.
As a condition of your use of the Services, you represent and warrant that all information supplied by you in the course of your use of the Services is true, accurate, current and complete. Registration data and certain other information about you are governed by our Privacy Policy.
Your use of the Services is permitted by us only for personal, non-commercial use and/or to make legitimate requests of the Products offered. You agree not to use this Services to make any speculative, false or fraudulent requests.
You may be required to register with Ultimate Solutions in order to access and use certain features of the Service. Customers using this feature will identify a username and password that will be used solely by Customer to access and use Customer’s account on the Services. You may never use another’s account. Customer will not share its username or password with any third party and will be responsible and liable for the acts or omissions of any person who accesses the Services via such account. Customer will (a) provide accurate, correct, current, and complete information when setting up such account; (b) maintain and promptly update any account information; (c) maintain the security of any password and accept all risks of unauthorized access to its account; and (d) promptly notify us if it discovers or otherwise suspects any security breaches related to such account.
We have the right to deny access to the Services to any person at any time and for any reason, including, but not limited to, for violation of these Terms of Use. We also retain the right to disable any account or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use. 4. Customer Obligations
You agree that you will not and will not assist or enable others to:
- Violate any local, state, federal or international law or regulation;
- Violate any third-party right, including intellectual property and privacy rights;
- Collect personal data about other users;
- Rent, lease, reproduce, modify, adapt, create derivative works of, distribute, sell, license, sublicense, transfer, or provide access to the Services to a third party in any way;

(a) All prices published on this Website are subject to change without prior notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be included in the order confirmation email. The published prices include shipping and handling charges. Disputes Between Users. Customer will defend, indemnify and hold harmless Ultimate Solutions (and its affiliates, officers, directors and employees) from and against any and all damages, costs, losses, liabilities or expenses (including court costs and attorneys’ fees) which the Company may suffer or incur in connection with any actual claim, lawsuit, demand, action or other proceeding by any third party arising from: (a) any breach of Customer’s obligations, representations or warranties herein; or (b) any use by the Customer in violation of this Agreement or applicable law or regulations, including any damages caused by your use of the Service.
Procedure for handling Indemnification Claims. The obligations of either party to provide indemnification under this Agreement will be contingent upon the indemnified party (i) providing the indemnifying party with prompt written notice of any claim for which indemnification is sought (provided that the indemnified party’s failure to notify the indemnifying party will not diminish the indemnifying party’s obligations under this Section except to the extent that the indemnifying party is materially prejudiced as a result of such failure), (ii) cooperating fully with the indemnifying party (at the indemnifying party’s expense), and (iii) allowing the indemnifying party to control the defense and settlement of such claim, provided that no settlement may be entered into without the consent of the indemnified party if such settlement would require any action on the part of the indemnified party other than to cease using any allegedly infringing or illegal content or services. CUSTOMER (ON ITS OWN BEHALF AND ON BEHALF OF ANY PERSON OR ENTITY AUTHORIZED TO USE THE SERVICES BY CUSTOMER) COVENANTS NOT TO SUE OR MAKE OR ASSERT AGAINST ULTIMATE SOLUTIONS ANY CLAIM OF INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHT WITH RESPECT TO THE SERVICES PROVIDED BY US UNDER THIS AGREEMENT.

18. Governing Law & Arbitration
Governing Law. All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Puerto Rico without giving effect to any choice or conflict of law provision or rule.

- Force Majeure. In the event that either party is prevented from performing, or is unable to perform, any of its obligations under this Agreement (except payment obligations) due to any cause beyond its reasonable control, the affected party shall give written notice thereof to the other party and its performance shall be extended for the period of delay or inability to perform due to such occurrence.
- Waiver. No waiver of any breach of this Agreement, will be effective unless in writing and signed by an authorized representative of the party against whom enforcement is sought. No waiver of any breach of this Agreement, and no course of dealing between the parties, will be construed as a waiver of any subsequent breach of this Agreement.
